Michael De Biase is a seasoned attorney with substantial experience in entity selection and formation, general corporate transactional matters, and mergers and acquisitions. Michael is recognized for his pragmatic, efficient, and client-centric approach to transactions and legal counseling. Michael devotes a substantial portion of his practice to mergers and acquisitions, and acts as trusted counsel to various companies, founders, and entrepreneurs.
In a past life, Michael litigated intellectual property, partnership disputes, and other complex business litigation matters. He now leverages that experience along with his transactional experience to be a trusted advisor to both large and small corporate clients, and wealthy individuals who invest in different businesses. Michael has developed a stable of vetted professionals who he utilizes to counsel and advise his clients.
Michael specializes in middle market mergers and acquisitions, on both the buy-side and sell-side, and has counseled clients through the capital raising process. He has developed substantial experience and expertise in negotiating operating agreements, shareholder agreements, executive employment agreements, equity compensation agreements, and subscription agreements.
Michael takes the time to learn about each of his client’s businesses, to better counsel and protect his clients. Entrepreneurship is a fascination to him, and he enjoys learning about the mechanics of his clients’ businesses.
Michael is a New Jersey native and currently resides in Boca Raton, Florida. As a first-generation Italian-American, he cannot help but cheer for the Azzurri, AC Milan, and the Ferrari Formula 1 team, in addition to his favorite domestic professional and collegiate sports teams. Michael enjoys spending time with his wife, kids, dog and extended family and friends, and will drag them (except the dog) to the beach at every opportunity.
